PROGENY SOFTWARE, LLC HAS AGREED TO DELIVER THIS SOFTWARE ON THE EXPRESS CONDITION OF YOUR ACCEPTANCE OF THE FOLLOWING LICENSE AGREEMENT IN ITS ENTIRETY.  BY CLICKING “ACCEPT”, YOU AGREE TO THE TERMS AND CONDITIONS SET FORTH BELOW.

PROGENY SOFTWARE LICENSE AGREEMENT

1. LICENSE AND SUPPORT.  Progeny Software, LLC (PROGENY SOFTWARE) hereby grants you “Licensee” a non-exclusive and non-transferable license to install and use the Progeny Online Pedigree Drawing software “Progeny” by downloading from our website.   Licensee may not sell, rent, loan or otherwise encumber or transfer Licensed Software in whole or in part, to any third party. No licenses are granted to Licensee for any other purposes.  Licensee can install the software solely for the purposes as follows:
The software is licensed for academic use, personal use, or for educational purposes only.  It is expressly forbidden to use the software in a commercial setting.  Commercial use of our software requires a separate license agreement with Progeny Software.  Please contact us for details by sending an email to info@progenygenetics.com or by calling 800-PROGENY.

2. COPYRIGHT AND OWNERSHIP.  “Progeny” is owned exclusively by PROGENY SOFTWARE and is protected by United States and International copyright laws.  You acquire only the right to use “Progeny” and do not acquire any rights of ownership in the software “Progeny”.  No right, title, or interest in or to Licensed Software, any trademarks, service marks, or trade names of PROGENY SOFTWARE is granted under this Agreement.

3. COPY AND OTHER RESTRICTIONS.  You may not modify, reverse engineer, decompile, or disassemble “Progeny”.  “Progeny” may not be transferred, sold, assigned, or otherwise conveyed (whether by operation of law or otherwise) to another party without PROGENY SOFTWARE’s written prior consent.  You shall not remove any product identification, copyright notices, or other notices or proprietary from “Progeny”.  System performance of the software product and/or its contents may not be disclosed to a third party without PROGENY SOFTWARE’s prior written consent.

4. TERMINATION.  Progeny may terminate this Agreement at any time for any cause by removing the software from our website.  The provisions of this Agreement will remain in full force after removal of our software from the website.

5. LIMITED WARRANTY AND LIABILITY.  PROGENY SOFTWARE warrants that “Progeny”, as updated and properly used, will operate in all material respects in conformity with PROGENY SOFTWARE published specifications.  
No warranty is made regarding the functionality of the software or services provided by PROGENY SOFTWARE.    
In no event will PROGENY SOFTWARE be liable for any loss or inaccuracy of data, loss of profits due to downtime, or any indirect, special, incidental, or consequential damages, even if PROGENY SOFTWARE has been advised of such consequential damages.  PROGENY SOFTWARE’s total liability, if any, arising out of or relating to this Agreement shall not exceed the license fee paid by you for use of “Progeny”.

6. GENERAL TERMS.  Neither party may assign or otherwise transfer any of its rights or obligations under this Agreement, without the prior written consent of the other party, except that PROGENY SOFTWARE may assign this Agreement to an affiliated company.  This Agreement is the parties' entire agreement relating to its subject matter.  It supersedes all prior or contemporaneous oral or written communications, proposals, conditions, representations and warranties and prevails over any conflicting or additional terms of any quote, order, acknowledgment, or other communication between the parties relating to its subject matter, including any Supplemental Terms, or other licenses contained within Licensed Software.  No modification to this Agreement will be binding, unless in writing and signed by an authorized representative of each party.

7. WAIVERS.  The failure or delay of either party to exercise any of its rights shall not be a deemed waiver thereof and no waiver by either party of any breach of this Agreement shall constitute a waiver of any other or subsequent breach.
